By accessing, browsing, or using the services provided by ULTRA REPUTATION SHEILD, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these Terms, you must not access or use our services.

These Terms govern your use of our reputation management services, including any updates, enhancements, new features, and/or the addition of any new web properties. Your continued use of the services following any changes constitutes your acceptance of such changes.

"Customer Content"
Any content, materials, data, or information submitted, uploaded, or provided by you in connection with the Services.
"Subscription"
The paid access to our Services on a recurring basis, as detailed in your chosen plan.
"Platform"
Our website, mobile applications, client portal, and any other digital platforms through which we provide Services.

Service Description & Scope

3.1 Core Services Provided

ULTRA REPUTATION SHEILD provides comprehensive online reputation management services including:

We strictly adhere to all platform guidelines and legal requirements. We do not engage in fake reviews, review manipulation, or any unethical practices that violate platform terms of service.

Account Registration & Security

4.1 Account Creation Requirements

To use our Services, you must create an account by providing accurate and complete information. You must:

  • Provide true, accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized use of your account

You are responsible for:

  • All activities that occur under your account
  • Maintaining the confidentiality of your password
  • Ensuring that you log out from your account at the end of each session
  • All damages or losses incurred due to unauthorized use of your account

Fees, Payment & Billing

  • Payment is due upon the start of each billing cycle
  • All fees are non-refundable except as specified in our Refund Policy
  • We reserve the right to change pricing with 30 days notice

Intellectual Property Rights

7.1 Our Intellectual Property

All rights, title, and interest in and to our Services, including all intellectual property rights, are and will remain the exclusive property of ULTRA REPUTATION SHEILD. Our Services are protected by copyright, trademark, and other laws.

7.2 Your Intellectual Property

You retain all rights to your Customer Content. By submitting Customer Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content solely for the purpose of providing our Services to you.

7.3 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes.

Termination & Cancellation

8.1 Termination by Customer

You may terminate your subscription at any time by providing written notice. Termination will be effective at the end of your current billing cycle.

8.2 Termination by ULTRA REPUTATION SHEILD

We may terminate or suspend your access to our Services immediately, without prior notice, if:

  • You breach any provision of these Terms
  • You fail to pay any fees when due
  • We suspect fraudulent or illegal activity
  • Required to do so by law

8.3 Post-Termination Effects

Upon termination:

  • Your right to use our Services immediately ceases
  • You remain liable for all charges incurred up to termination
  • We may delete your Customer Content after a reasonable period
  • All provisions that by their nature should survive termination will survive

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

No Performance Guarantees

We do not guarantee specific results from our reputation management services. Results may vary based on industry, competition, starting reputation, and other factors outside our control.

Limitation of Liability

10.1 General Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ULTRA REPUTATION SHEILD, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

10.2 Maximum Liability Cap

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE PAST SIX MONTHS.

10.3 Essential Purpose Acknowledgement

THE LIMITATIONS IN THIS SECTION APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification Clause

You agree to defend, indemnify, and hold harmless ULTRA REPUTATION SHEILD, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to our Services
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any claim that your Customer Content caused damage to a third party

Governing Law & Dispute Resolution

12.1 Governing Law

These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

12.2 Dispute Resolution Process

Any dispute arising from or relating to these Terms shall be resolved through the following process:

  1. Negotiation: Parties will attempt to resolve the dispute through good faith negotiation
  2. Mediation: If negotiation fails, parties will attempt mediation with a mutually agreed mediator
  3. Arbitration: If mediation fails, the dispute shall be resolved by binding arbitration in accordance with UK arbitration rules

12.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Changes & Amendments

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using our Services.

Miscellaneous Provisions

14.1 Entire Agreement

These Terms constitute the entire agreement between you and us regarding our Services and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment Rights

You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
